This Reseller Agreement ("Agreement") is made and entered into on [Date], by and between:

First Party (Registrar):
PT SENYUM DISKON INDONESIA, a limited liability company organized under the laws of the Republic of Indonesia, hereinafter referred to as the "Registrar."

Second Party (Reseller):
[Insert name and details of the reseller], hereinafter referred to as the "Reseller."

ARTICLE 1: SCOPE OF COOPERATION

  1. The Registrar appoints the Reseller to resell domain name registration services made available by the Registrar.
  2. The Reseller shall act as an independent contractor and not as an agent or representative of the Registrar.

ARTICLE 2: OBLIGATIONS AND RESPONSIBILITIES OF THE RESELLER

The Reseller agrees to:

  1. Submit accurate and complete WHOIS information for all domain name registrations.
  2. Clearly disclose to customers that the Registrar is the sponsoring ICANN-accredited Registrar.
  3. Provide clear abuse contact details and reporting procedures on it's website.
  4. Comply with all applicable ICANN policies, consensus policies, and registry requirements.
  5. The Reseller shall comply with all obligations required under the ICANN Registrar Accreditation Agreement (RAA), applicable ICANN consensus policies, and Registrar's procedures.
  6. The Reseller acknowledges that the Registrar remains responsible to ICANN for all actions of its Resellers as if those actions were performed by the Registrar itself.
  7. The Reseller shall ensure that all services provided to Registered Name Holders (RNHs) are consistent with ICANN policies, and that all registration data collected is accurate, current, and complete.

The Reseller shall not represent itself as an ICANN-accredited registrar and must always identify the sponsoring Registrar, PT Senyum Diskon Indonesia, in all customer interactions.

ARTICLE 3: REGISTRAR’S OBLIGATIONS

The Registrar shall:

  1. Provide the Reseller with secure access to the reseller system for domain name registration and management.
  2. Offer reasonable technical support for integration and operation.
  3. Monitor and audit the Reseller’s compliance with this Agreement and ICANN policies.
  4. The Reseller is required to clearly display the name of the sponsoring ICANN-accredited Registrar, PT Senyum Diskon Indonesia, on all websites, interfaces, and marketing materials used for domain name registration services.

ARTICLE 4: PROHIBITIONS

The Reseller shall not:

  1. Infringe upon third-party rights, including trademarks or intellectual property.
  2. Use or promote domain registration services for unlawful, abusive, or fraudulent activities, including but not limited to phishing, malware distribution, spamming, or child exploitation.
  3. Provide false, misleading, or incomplete information to customers.
  4. The Reseller must provide a link to the ICANN Registrant Rights and Responsibilities document and the Registrant Educational Information page on its website or within any customer-facing communication channels related to domain name registration services.

ARTICLE 5: VIOLATION HANDLING

If the Reseller breaches any part of this Agreement, the Registrar reserves the right to:

  1. Issue a written warning to the Reseller.
  2. Suspend or restrict system access.
  3. Terminate this Agreement unilaterally without liability.

The Registrar may report severe or repeated violations to ICANN or relevant authorities.

ARTICLE 6: DURATION AND TERMINATION

This Agreement shall take effect on the date of signing and remain in force until terminated by either party.

Either party may terminate this Agreement with thirty (30) days’ prior written notice.

The Registrar may immediately terminate this Agreement in the event of:

  1. Violation of ICANN policies or applicable laws by the Reseller;
  2. Fraudulent, abusive, or deceptive practices; or
  3. Failure to comply with Registrar’s operational or compliance requirements.

ARTICLE 7: DISPUTE RESOLUTION

Both parties shall attempt to resolve disputes amicably through mutual consultation.

If no agreement is reached, the dispute shall be settled under the laws of the Republic of Indonesia.

ARTICLE 8: ENTIRE AGREEMENT

This Agreement constitutes the entire understanding between the Registrar and the Reseller with respect to domain name registration services.

Any modifications or amendments must be made in writing and signed by both parties.
